FRAUD – Prepare Annual Minutes

I have long been very upset by repeated fraud, actual and attempted, by a series of corporate compliance companies.

Their official looking prepare annual minutes forms, with a Tallahassee (state capital) address, tell companies to pay $125 to prepare annual minutes. The form quotes Florida Statute 607.1601(1), “A corporation shall keep as permanent records minutes of all meetings of its shareholders and board of directors, a record of all actions taken by the shareholders or board of directors without a meeting, and a record of all actions taken by a committee of the board of directors in place of the board of directors on behalf of the corporation.”

There are no penalties if you do not prepare annual minutes. Minutes can affect limited liability or accrued tax liability. However, in 45+ years of CPA practice, almost none of my thousands of small business clients kept minutes. None ever  or faced related sactions. The form also buries (at the end of a paragraph):

THIS PRODUCT HAS NOT BEEN APPROVED OR ENDORSED BY ANY GOVERNMENT AGENCY AND THIS OFFER IS NOT BEING MADE BY AN AGENCY OF THE GOVERNMENT.

To me, various offical-looking touches mean the company is engaging in an organized criminal conspiracy to defraud. You may recognize the form you got as similar to this MIN-FL011 form. Many of the 3,000+ Google links to the MIN-FL011 refer to fraud. One post includes:

The FLORIDA ATTORNEY GENERAL has issued a previous statement regarding these scammers:

“Over the past several months, the Attorney General’s Office has received numerous complaints against several of these companies. Last week the Attorney General settled a lawsuit against one such company, Corporate Compliance Center, over allegations that the company misled Florida businesses relating to the sale of corporate minutes reports. Two other companies, Corporate Minutes Compliance Service and Corporate Minute Services, were prevented from operating in Florida when the Attorney General’s Office threatened litigation.”

LOOKS LIKE THESE PEOPLE KEEP SLIGHTLY CHANGING THEIR COMPANY INFO TO AVOID DETECTION. THE NEWEST NAME IS: CORPORATE SERVICES.

Only one of the above Florida companies registered with the Florida Secretary of State. Therefore, please join me in my federal and state Racketeer Influenced and Corrupt Organizations (RICO) Act complaints against them and their officers. We also should complain to the Secretary of State, the State Attorney General and our legislators, so no one can use names or addresses that facilitate fraud.

We all already have damages, to the extent that we all spent time on this.
